Effective Date: Upon acceptance by Partner

Welcome to the DrorDigitalPros Partner Network (“Program”), owned and operated by DrorDigitalPros LLC, headquartered in Fort Worth, Texas.
By enrolling in this Program or submitting a Partner Application, you (“Partner”) agree to comply with and be bound by the following Terms and Conditions.


1. Eligibility & Enrollment

1.1 To participate, you must be at least 18 years old and operate as an independent freelancer, consultant, agency, or marketing service provider.
1.2 Enrollment in the Program requires completion of the official Partner Application form and acceptance by DrorDigitalPros.
1.3 Acceptance into the Program is at the sole discretion of DrorDigitalPros. We reserve the right to approve or reject any applicant without obligation to disclose reasons.


2. Relationship of the Parties

2.1 Partner is an independent contractor, not an employee, joint venturer, or franchisee of DrorDigitalPros.
2.2 Nothing in this Agreement creates any employer–employee relationship or partnership.
2.3 Partner has no authority to bind or represent DrorDigitalPros in any contract, statement, or commitment.


3. Partner Responsibilities

3.1 Partner agrees to:

  • Accurately represent DrorDigitalPros services and offers.

  • Use only approved promotional materials, logos, and brand assets.

  • Maintain ethical, transparent, and professional marketing practices.

  • Protect the reputation and integrity of the DrorDigitalPros brand.

3.2 Partner will not engage in spam, misleading advertising, illegal activities, or unauthorized promises of income.
3.3 Violation of these terms may result in immediate termination from the Program.


4. Commissions, Referrals & Payments

4.1 Partners earn commissions based on successful referrals, leads, or client purchases directly tracked through assigned affiliate links or CRM records.
4.2 Commissions are calculated according to the tier or rate defined in your Partner Dashboard or onboarding agreement.
4.3 Payments are processed monthly, within 30 days of the prior month’s close, through approved methods (PayPal, Stripe, Zelle, or direct deposit).
4.4 Minimum payout threshold is $50 USD.
4.5 If a client cancels, refunds, or disputes payment, corresponding commissions will be reversed.
4.6 Partners are responsible for providing accurate tax information (W-9 for U.S. persons, W-8BEN for non-U.S. persons).


5. Use of Brand Assets

5.1 DrorDigitalPros grants Partner a non-exclusive, non-transferable license to use official logos, names, and approved materials solely for Program promotion.
5.2 Partners may not:

  • Alter logos or brand elements.

  • Present themselves as employees or authorized representatives.

  • Create websites, ads, or domains that impersonate DrorDigitalPros.

5.3 All intellectual property remains the exclusive property of DrorDigitalPros LLC.


6. Confidentiality & Non-Disclosure

6.1 Partner agrees to keep confidential all business, client, pricing, and system information shared through the Program.
6.2 Confidential materials may not be reproduced, shared, or distributed to third parties without written permission.
6.3 This obligation remains in effect even after termination of the partnership.


7. Termination

7.1 Either party may terminate this Agreement at any time, with or without cause, by written notice (including email).
7.2 DrorDigitalPros reserves the right to suspend or terminate any Partner for:

  • Misrepresentation, unethical conduct, or policy violation.

  • Fraudulent or false referrals.

  • Inactivity exceeding 90 days.

7.3 Upon termination, Partner must immediately cease use of all DrorDigitalPros brand assets and remove all affiliate links.


8. Limitation of Liability

8.1 DrorDigitalPros shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data.
8.2 We make no guarantees regarding partner earnings or performance results.
8.3 The total liability of DrorDigitalPros shall not exceed the total commissions paid to Partner in the preceding three (3) months.


9. Taxes & Legal Compliance

9.1 Partner is solely responsible for reporting and paying all applicable income, self-employment, or international taxes.
9.2 DrorDigitalPros will issue IRS Form 1099-NEC for eligible U.S. partners meeting the annual payment threshold.
9.3 Non-U.S. partners must submit Form W-8BEN to verify foreign status for tax purposes.


10. Dispute Resolution

10.1 Any dispute, claim, or controversy arising under this Agreement shall be resolved through mediation and, if necessary, binding arbitration in Tarrant County, Texas.
10.2 This Agreement is governed by the laws of the State of Texas, USA.


11. Modifications

11.1 DrorDigitalPros may update or modify these Terms at any time.
11.2 Changes will be posted on the Partner Hub or Partner Page with the “Last Updated” date revised.
11.3 Continued participation constitutes acceptance of updated terms.


12. Acceptance of Agreement

By checking the box labeled “I agree to the DrorDigitalPros Partner Terms & Conditions” and submitting the Partner Application, you acknowledge that:

  • You have read, understood, and agreed to all terms above.

  • You are legally authorized to enter into this Agreement on behalf of yourself or your company.

  • You accept full responsibility for compliance with these conditions.
