DrorDigitalPros Partner Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into between DrorDigitalPros LLC (“Disclosing Party”) and the undersigned Partner / Contractor / Affiliate (“Receiving Party”) upon enrollment in the DrorDigitalPros Partner Network (“Program”).

By joining the Program or accepting any project, you agree to be bound by the terms of this Agreement.


1. Purpose

The purpose of this Agreement is to prevent unauthorized disclosure or misuse of confidential information exchanged during discussions, training, and fulfillment of work within the DrorDigitalPros Partner Network.


2. Definition of Confidential Information

“Confidential Information” includes but is not limited to:

  • Client data, contact information, or project details

  • Marketing funnels, automations, ad copy, or strategy assets

  • Pricing structures, commission rates, and business models

  • System logins, templates, software access, or credentials

  • Any information labeled “confidential” or shared within secured portals

Confidential Information may be written, oral, digital, visual, or otherwise recorded.


3. Obligations of the Receiving Party

The Receiving Party agrees to:

  1. Use Confidential Information solely for work performed under the DrorDigitalPros Program.

  2. Not disclose or share any Confidential Information to third parties without prior written consent.

  3. Take all reasonable precautions to protect such information (password security, encrypted storage, private workspace, etc.).

  4. Immediately notify DrorDigitalPros LLC of any unauthorized access or suspected breach.


4. Exclusions

This Agreement does not apply to information that:

  • Was publicly available prior to disclosure;

  • Becomes publicly available through no fault of the Receiving Party;

  • Is lawfully obtained from a third party without restriction; or

  • Is independently developed without reference to the Confidential Information.


5. Ownership and Return of Materials

All documents, data, and property shared under this Agreement remain the sole property of DrorDigitalPros LLC.
Upon request or termination, the Receiving Party must return or permanently delete all Confidential Information, including backups, within 7 days.


6. Duration

This Agreement remains in effect throughout the duration of the partnership and for three (3) years following termination or completion of the last project, whichever is later.


7. Remedies

The Receiving Party acknowledges that unauthorized disclosure may cause irreparable harm.
DrorDigitalPros LLC may seek injunctive relief, equitable remedies, and damages in addition to any other legal rights available under Texas law.


8. No License or Employment Relationship

Nothing in this Agreement grants the Receiving Party ownership of DrorDigitalPros intellectual property, nor does it create an employer-employee relationship.


9. Governing Law

This Agreement is governed by the laws of the State of Texas, USA, and any dispute shall be resolved in Tarrant County, Texas.


10. Acceptance

By checking the box labeled “I agree to the DrorDigitalPros Non-Disclosure Agreement (NDA)” within the Partner Application or by performing work under the Program, you acknowledge that you have read, understood, and agree to abide by the terms of this NDA.
